Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Fyxo Connect platform (the "Platform"), operated by Fyxo Spaces Private Limited ("Fyxo", "we", "us", or "our"). By creating an account or using the Platform, you ("Client", "you") agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you are authorised to bind that business.

1. The service

Fyxo Connect is software that helps businesses manage customer communication and marketing on WhatsApp and Instagram using Meta's official APIs. Features include a shared inbox, automation flows, broadcast campaigns, product catalogs, Instagram automation, content scheduling, AI-assisted replies, and analytics. We may add, change, or remove features over time.

2. Eligibility and accounts

• You must be at least 18 years old and operating a legitimate business.
• You are responsible for keeping your login credentials secure and for all activity under your account.
• You must provide accurate information and keep it up to date.

3. Your accounts on Meta

To use the Platform you connect your own WhatsApp Business Account and/or Instagram professional account. You retain ownership of those accounts and your customer relationships. You authorise us to access and act on those accounts, through Meta's official APIs, solely to provide the service to you.

4. Acceptable use and compliance

You agree to use the Platform lawfully and in compliance with all applicable policies, including the WhatsApp Business Messaging Policy, the Meta and Instagram Platform Policies, and applicable law. In particular, you agree that you will not:

• message people who have not opted in to receive messages from your business;
• send spam, unsolicited bulk messages, or misleading, unlawful, or harmful content;
• use the Platform to harass, defraud, or infringe the rights of others;
• attempt to reverse engineer, disrupt, or gain unauthorised access to the Platform; or
• resell or provide the Platform to third parties without our written consent.

You are solely responsible for obtaining valid consent from your customers and for the content you send. Violations of platform policies may result in restrictions imposed by Meta on your account, for which we are not responsible.

5. Fees, billing, and message credits

• Subscriptions are billed monthly in advance according to the plan you select. Prices are in Indian Rupees and exclusive of applicable taxes unless stated otherwise.
• Message credits: charges levied by Meta for WhatsApp conversations are billed as prepaid message credits that you top up. Credits are consumed as messages are sent.
• Payments are processed by Razorpay. By paying, you agree to Razorpay's terms in addition to ours.
• Renewals: subscriptions renew automatically until cancelled. You may cancel or change your plan at any time; changes take effect at the end of the current billing cycle.
• Refunds: except where required by law, subscription fees and consumed message credits are non-refundable.

6. Data and privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. As between you and us, you are the controller of your End Customers' data and we act as your processor for that data. You are responsible for having a lawful basis to process and message your customers.

7. Intellectual property

The Platform, including its software, design, and content, is owned by Fyxo Spaces Private Limited and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Platform during your subscription. You retain ownership of the content and data you provide.

8. Third-party services

The Platform integrates with third-party services including Meta, Razorpay, and AI providers. Your use of those services is subject to their terms. We are not responsible for the availability, accuracy, or actions of third-party services.

9. Service availability

We aim to keep the Platform available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may suspend the service where necessary to protect security or comply with law.

10. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, Fyxo Spaces Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless Fyxo Spaces Private Limited from any claims, damages, or expenses arising out of your use of the Platform, your content, or your breach of these Terms or applicable policies and laws, including claims relating to messaging customers without valid consent.

13. Suspension and termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Platform in a way that risks harm to us, our other Clients, or Meta's platforms. You may stop using the Platform and close your account at any time. On termination, your right to use the Platform ends; provisions that by their nature should survive will survive.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at the location of our registered office shall have exclusive jurisdiction over any disputes, subject to applicable law.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
